Membership Agreement

This Membership and Platform Use Agreement ("Agreement”) is entered into between HLewis Enterprise LLC, doing business as JOHNtos ("JOHNtos,” "we,” "us,” or "our”), with a business address at 210 Villa Di Este Ter, Lake Mary, Florida 32746, and each person or entity that accesses, registers for, subscribes to, sells through, purchases through, or otherwise uses JOHNtos ("Member,” "User,” or "you”).

JOHNtos is accessible through www.johntos.com, the JOHNtos mobile applications, and related services, collectively referred to as the "Platform.”

By accessing or using JOHNtos, creating an account, purchasing a subscription, or selecting "I Accept” during registration, you acknowledge that you have read, understood, and agreed to this Agreement and all applicable JOHNtos policies.

1. Nature of the Platform

JOHNtos is a global, faith-based Christian marketplace and social platform built on biblical values, designed to bring commerce, community, content, connection, giving, earning opportunities, and purpose together in one place.

JOHNtos may provide users with opportunities to buy and sell products; offer and request services; promote businesses and organizations; advertise; provide or receive physical donations; watch uplifting Christian and family-oriented video content; participate in social communities and ministries; connect through the JOHNtos Singles Network; participate in charitable, volunteer, Outreach, Organization, and Nurture initiatives; participate in affiliate earning opportunities; engage with JOHNtos partners and partnership programs; and access other features and services made available through the Platform.

JOHNtos seeks to provide a positive, family-friendly environment that reflects biblical principles and encourages faith, integrity, compassion, service, and love for God and one another.

2. Membership and Registration

Members must provide accurate and reasonably complete information when registering and must update their information when necessary.

Members are responsible for maintaining the confidentiality of their usernames, passwords, and account credentials and for activity conducted through their accounts.

You may not impersonate another individual or organization, create misleading accounts, or knowingly provide false information.

JOHNtos may require identity, account, business, payment, or other verification before allowing access to certain features.

3. Vendor Marketplace

Paid Vendor subscribers may sell products, offer services, promote businesses and organizations, provide physical donations, advertise, and reach customers locally and globally, subject to JOHNtos policies.

Vendors are responsible for the accuracy of their listings, fulfillment of orders or services, customer communications, applicable taxes, returns or refunds, shipping obligations, and compliance with applicable laws.

Unless JOHNtos expressly identifies itself as the seller of a particular item or service, JOHNtos provides marketplace infrastructure and is not the seller, manufacturer, service provider, employer, agent, or representative of individual Vendors.

Applicable subscription charges, marketplace fees, commissions, or other charges will be disclosed through JOHNtos pricing, checkout, Vendor documentation, or other applicable areas of the Platform.

4. Singles Network

Eligible paid subscribers may access the JOHNtos Singles Network to meet and communicate with others seeking meaningful, faith-centered relationships.

Members are responsible for exercising reasonable judgment and caution when communicating with or meeting other users.

Any verification performed by JOHNtos should not be interpreted as a guarantee of a Member’s identity, character, intentions, compatibility, or conduct.

JOHNtos does not guarantee that any Member will find a relationship, match, spouse, or particular outcome through the Singles Network.

5. Social Community

Eligible Social subscribers may participate in the JOHNtos Social Network without a subscription fee, subject to applicable Platform rules.

Members may create or participate in communities, ministries, groups, discussions, and other social activities and may share appropriate content consistent with JOHNtos standards.

6. Video Content

JOHNtos may provide access to uplifting, Christian, faith-based, educational, and family-oriented video content from JOHNtos and participating content providers.

Ownership and intellectual-property rights in third-party content remain with the applicable owners or licensors.

7. Giving, Donations and Volunteer Opportunities

JOHNtos may provide opportunities for Members to donate, volunteer, contribute resources, or serve through initiatives including Outreach, Organization, and Nurture.

Outreach may include missions, evangelism, humanitarian assistance, community service, disaster assistance, and helping people in need.

Organization may include supporting churches, ministries, nonprofits, community organizations, and resources that enable them to serve more effectively.

Nurture may include supporting families, youth, education, mentoring, wellness, entrepreneurship, skills development, and spiritual growth.

Unless expressly stated otherwise, JOHNtos does not guarantee that a donation will qualify for a particular tax deduction or tax treatment. Members should consult their own tax or legal advisers regarding charitable contributions.

JOHNtos may also designate a percentage of qualifying subscription revenue to the subscriber’s church or charity of choice, subject to applicable program requirements and policies.

8. Affiliate Opportunities

JOHNtos may offer eligible Members opportunities to earn commissions by referring qualifying subscribers or partners through the JOHNtos Affiliate Program.

Participation, eligibility, commission amounts, qualifying transactions, payment requirements, verification procedures, and other conditions are governed by the Affiliate Program terms in effect at the time of the applicable referral.

Membership in JOHNtos alone does not guarantee affiliate earnings.

9. Partnerships

JOHNtos may establish commercial, promotional, charitable, strategic, or community partnerships with businesses and organizations.

Partnership arrangements may include marketplace participation, customer programs, advertising, sponsorships, co-marketing, charitable initiatives, community programs, and other collaborations.

Unless expressly agreed in writing, ordinary membership or participation on JOHNtos does not create a legal partnership, agency, joint venture, employment, franchise, or fiduciary relationship with JOHNtos.

10. Member Content

"Member Content” includes text, photographs, videos, listings, reviews, comments, messages, business information, profiles, and other materials submitted to the Platform.

Members retain ownership of their original Member Content.

By submitting Member Content, you grant JOHNtos a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, format, and otherwise use the content as reasonably necessary to operate, provide, secure, improve, and promote the Platform, subject to applicable privacy settings and law.

You represent that you have the necessary rights to submit the content and that it does not violate intellectual-property rights, privacy rights, applicable law, or JOHNtos policies.

JOHNtos may remove or restrict content that violates this Agreement or applicable Platform policies.

11. Acceptable Conduct

Members may not use JOHNtos to engage in unlawful, fraudulent, abusive, deceptive, threatening, exploitative, obscene, or otherwise prohibited conduct.

Members may not list, promote, sell, distribute, or facilitate products, services, content, or activities prohibited by JOHNtos policies or applicable law.

JOHNtos may investigate suspected violations and may restrict, suspend, or terminate accounts when reasonably necessary to protect the Platform, Members, or others.

12. Sabbath Commitment

In recognition of the biblical Sabbath, JOHNtos pauses commercial and other business-related functionality from Friday at 6:00 PM until Saturday at 6:00 PM.

During this period, Videos and Donations remain available, while marketplace, social, Singles Network, advertising, and other business-related functionality may be unavailable or restricted.

Members acknowledge and accept these scheduled limitations as part of the JOHNtos Platform.

13. Privacy

Use of JOHNtos is subject to the JOHNtos Privacy Policy, which explains how personal information may be collected, used, stored, processed, and disclosed.

Members are responsible for information they voluntarily make public through profiles, listings, posts, groups, communities, or other public areas of JOHNtos.

14. Transactions Between Members

JOHNtos provides tools that allow Members, Vendors, buyers, organizations, service providers, and other users to interact and transact.

Unless expressly stated otherwise, JOHNtos is not a party to agreements made directly between Members.

Members are responsible for evaluating transactions and resolving issues involving the quality, legality, delivery, accuracy, safety, or suitability of products and services provided by other Members.

JOHNtos may provide dispute-support mechanisms but does not guarantee resolution of Member-to-Member disputes.

15. Release

To the fullest extent permitted by applicable law, if you have a dispute with another Member, Vendor, buyer, organization, service provider, or third party, you agree not to hold JOHNtos or HLewis Enterprise LLC responsible for claims, losses, or damages arising solely from that third party’s acts or omissions.

Nothing in this provision excludes liability that cannot legally be excluded.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless HLewis Enterprise LLC, JOHNtos, and their officers, employees, contractors, agents, affiliates, and representatives from claims, liabilities, damages, losses, and reasonable legal expenses arising from your violation of this Agreement or applicable law, your Member Content, your products, services, listings, or transactions, or your violation of another person’s rights.

17. Suspension and Termination

Members may discontinue use of JOHNtos or request account closure in accordance with available account procedures.

JOHNtos may suspend, restrict, or terminate access when a Member violates this Agreement, applicable policies, the rights of others, applicable law, or creates a risk to JOHNtos, its Members, or the Platform.

Termination does not automatically eliminate obligations or liabilities arising before termination.

Certain content may remain in backups, transaction records, legal records, or other systems where retention is reasonably necessary or legally required.

18. Disclaimer of Warranties

JOHNtos is provided on an "as available” and "as is” basis, to the extent permitted by law.

JOHNtos does not guarantee uninterrupted availability, specific business results, sales, relationships, affiliate earnings, charitable outcomes, audience reach, or other particular results from using the Platform.

19. Limitation of Liability

To the fullest extent permitted by applicable law, JOHNtos and HLewis Enterprise LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of or inability to use the Platform or from the actions of other Members or third parties.

Any limitations contained in this Agreement apply only to the extent permitted by applicable law.

20. No Agency

Except where the parties expressly agree otherwise in writing, this Agreement does not create an agency, employment, partnership, joint venture, franchise, fiduciary, or similar relationship between JOHNtos and any Member.

21. Governing Law

This Agreement will be governed by and interpreted under the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

22. Dispute Resolution and Arbitration

To the extent permitted by applicable law, disputes arising from this Agreement or use of JOHNtos that cannot be resolved informally may be submitted to binding arbitration administered by the American Arbitration Association ("AAA”) under the rules applicable to the dispute.

Any arbitration provision, waiver of jury trial, class-action provision, venue requirement, or related dispute-resolution procedure will apply only to the extent enforceable under applicable law.

23. Changes to This Agreement

JOHNtos may update this Agreement as the Platform, services, laws, or business practices change.

Material changes may be communicated through the Platform, email, or another reasonable method. Continued use of JOHNtos following the effective date of an updated Agreement constitutes acceptance to the extent permitted by applicable law.

24. Entire Agreement

This Agreement, together with the JOHNtos Privacy Policy and any additional policies or program-specific terms applicable to a Member’s activities, constitutes the agreement between the Member and JOHNtos regarding use of the Platform.

If specific Vendor, Affiliate, Partnership, Donation, Singles Network, or other program terms conflict with this Agreement, the more specific terms will control for that program.
